Lead Trustee for Risk & Compliance

1) Purpose of role
The purpose of the role is to ensure the charity operates legally, ethically and effectively. The
Risk & Compliance Trustee will identify, assess and mitigate risks while promoting a strong
culture of compliance and good governance across the organisation.
2) Key Responsibilities
• Ensure the charity complies with relevant laws, regulations and its governing
document
• Undertake regular comprehensive risk assessments of the charity and provide
guidance on appropriate risk related matters.
• Ensure the charity has an effective risk management framework in place including
appropriate mitigants and the ability to manage all risks.
• Take ownership of the charity’s risk register and ensure regular review and updates.
• Ensure risk and performance management are monitored and managed through
effective systems of internal control and delegation to the charity’s management
team.
• Develop and review the charity’s policies and procedures to ensure they are fit for
purpose, particularly from a risk perspective.
• Monitor adherence to policies relating to safeguarding, data protection, finance,
fundraising and health & safety.
• Lead the Board’s oversight of the charity’s risk management strategy and plans.
• Ensure appropriate training and awareness for trustees and staff around risk and
compliance.
3) Relevant Experience
You must have relevant experience in risk management and compliance and an
understanding of charity governance and relevant regulatory environments. Experience as a
trustee is a plus.
If you do not have the relevant experience, it is a condition of this appointment that the
Trustee attends and completes any necessary training recommended by the board within a
reasonable timeframe.
4) Time commitment
• Attend a minimum of four board meetings a year.
• Active involvement in decision-making processes.
• Attendance at the Annual General Meeting.
• Engagement in charity activities beyond board meetings, as appropriate.
5) Term of Office
Trustees can serve an initial six-year term, with the option for renewal up to a maximum of
three years.
6) Voluntary Role
This role is subject to satisfactory references and a DBS check.
This is an unpaid position; however, reasonable expenses will be reimbursed.

Trustee

1) Purpose of role :
The Trustee Board is collectively responsible for the overall governance and strategic direction of
WAND UK, ensuring that it operates effectively, efficiently, and in accordance with its governing
document, charity law, and best practice. As a Trustee, you will play a vital role in providing
leadership, oversight, and support to enable WAND UK to achieve its charitable objectives and make
a positive impact on the lives of women and girls. You will act as a guardian of the charity’s vision,
mission, and values, ensuring its long-term sustainability and accountability to its stakeholders.
2) Key Responsibilities :
• Ensuring the charity has a clear vision, mission, and strategic direction and that these are
aligned with its governing document and charitable objectives.
• Contributing actively to the development and review of the charity’s strategic plans,
objectives, and policies.
• Monitoring the charity’s progress against its strategic goals and evaluating its impact.
• Ensuring sound financial management, including the approval of budgets and monitoring of
financial performance.
• Overseeing risk management processes and ensuring appropriate controls are in place.
• Participating in Trustee Board meetings, contributing constructively to discussions and
decision-making.
• Acting as a responsible steward of the charity’s assets and resources.
• Ensuring the charity operates with transparency and accountability to its beneficiaries,
funders, and the wider public.
• Contributing to the development and implementation of effective fundraising strategies.
• Representing the charity externally when required and acting as an ambassador for its work.
• Actively contributing to the effectiveness of the Trustee Board, including participating in
board development and self-assessment.
• Working collaboratively with fellow Trustees and the senior management team.
• Declaring any potential conflicts of interest and acting with integrity and impartiality.
• Keeping informed about the charity’s activities and the wider context in which it operates.
3) Relevant Experience :
We seek individuals passionate about WAND’s mission, bringing diverse skills and
perspectives to our Trustee Board. A strong commitment to our values, willingness to
dedicate time, strategic thinking ability, good communication skills, sound judgement, and an
understanding of trustee responsibilities are essential. Experience on a board or committee,
knowledge in areas like finance, law, fundraising, safeguarding, risk, marketing, service
delivery, HR, or specific expertise relevant to our work would be beneficial. Experience with
our beneficiaries or cause and understanding the local community are also welcome. We
encourage applications from diverse backgrounds.
